AlgoFruit Terms and Conditions

Welcome to AlgoFruit (“Platform”, “we”, “our”, or “us”), a portal operated by Garvik Technologies for accessing, subscribing to, and managing algorithmic trading strategies.

By accessing or using AlgoFruit (“Website” or “Service”), you (“User”, “you”, or “your”) agree to be bound by these Terms and Conditions. If you do not agree, please do not use our platform.

1. Nature of Services

AlgoFruit is operated by Garvik Technologies, Lucknow, India. We provide IT services including strategy automation, custom algo development, backtesting, hosting, and marketplace functionality.

Disclaimer: We are not SEBI-registered. We do not provide investment advice or financial services. Please consult a SEBI-registered advisor before investing.

AlgoFruit also operates an internal promotional system named FamilyCircle, allowing users to earn non-cash CherryCoin rewards for referrals and engagement. These rewards do not represent investment or income and are strictly for use within the platform.

Client Control and Automation: As per SEBI norms, users have full control over any automated trading execution. Users can enable, pause, or disable automation at any time through on/off switches provided in their dashboard. All automated actions require explicit user consent and can be stopped immediately by the user.

2. User Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract. Use of AlgoFruit must comply with local laws.

3. Account Registration

You must provide accurate information and are responsible for all activities on your account. Sharing login credentials is prohibited.

4. Strategy Subscriptions and Payments

• Users can subscribe to strategies listed on AlgoFruit.
• You must review strategy details and paper trade for at least 200 days before live deployment.
• We do not recommend trading real money until fully tested. All risks are your own.
• Subscription fees are billed through Razorpay and are subject to change.
• Users are charged based on their selected strategy plan.
• All payments are non-refundable except where required by law. Payments will be refunded within 24-72 hours.
• Cashback or referral rewards (CherryCoins) may be applied automatically to subscription payments as per your available balance. Cashback is not equivalent to a monetary refund.

5. Custom Strategies and Marketplace Use

Strategy Development and Usage:

• Users cannot upload strategies directly. Contact AlgoFruit for custom development.
• Private Use: All custom strategies developed for users are for personal use only by default.
• Family Sharing: As per SEBI guidelines, users may share their custom strategies with their immediate family members (spouse, children, parents) for personal use only.
• Public Distribution: Making strategies publicly available or offering them to third parties requires proper SEBI registration (such as Research Analyst registration) and prior authorization. Unauthorized public distribution of trading strategies is prohibited and may violate SEBI regulations.
• Marketplace Listings: Only SEBI-registered entities (Research Analysts) may list strategies or signals for public subscription after completing AlgoFruit's compliance verification process.

Ownership and Source Code Policy:

• Strategies developed by AlgoFruit remain our intellectual property.
• Source code is not shared by default.
• To access source code, users must:
  • Submit a request,
  • Receive approval, and
  • Pay a fee based on complexity, time, testing, and other factors.

6. Disclaimer of Risk and Financial Advice

Trading in financial markets involves risk. AlgoFruit and its affiliates are not responsible for any losses incurred through the use of our strategies. Past performance does not guarantee future results.

AlgoFruit is not responsible for losses, volatility, or market performance. Seek financial advice from qualified professionals.

7. Third-Party Tools and Integrations

We may integrate services such as Razorpay and AWS. We do not guarantee their performance or security.

8. Intellectual Property

All platform content, branding, and code are owned by Garvik Technologies. Unauthorized use is prohibited.

9. No Guarantees or Liability

• No assurance of financial returns or uptime.
• We are not liable for losses, data errors, or strategy underperformance, or platform unavailability, data breaches or technical failures.
• We make no assurance regarding the frequency, value, or continuity of CherryCoin rewards. The FamilyCircle program is discretionary and may be altered, paused, or terminated without liability.

10. Indemnity

You agree to indemnify and hold harmless AlgoFruit, Garvik Technologies, its affiliates, employees, and partners from any claims, losses, or damages (including legal fees) arising from:

• Use or misuse of the platform or strategies.
• Violations of law or third-party rights.
• Legal actions brought by third parties due to your activity or content.

11. Termination of Services

We may suspend or terminate your access for violations, abuse, or legal reasons. We may discontinue services without notice.

We reserve the right to remove or disable referral or cashback privileges for any user found abusing the FamilyCircle system, including but not limited to fake referrals, duplicate accounts, or manipulation of deposits.

12. Modifications

We may update these Terms at any time. Continued use of the platform indicates your acceptance of changes.

Any modifications to FamilyCircle reward rates, wallet usage rules, or eligibility will be published on the AlgoFruit platform. Continued use constitutes acceptance of such changes.

13. Governing Law

These Terms are governed by Indian law. Jurisdiction lies with courts in Lucknow, Uttar Pradesh.

14. Cancellation and Refund

All payments are non-refundable except where required by law. Payments will be refunded within 48-72 hours.

15. Shipping and Delivery

AlgoFruit provides digital products and services only. No physical goods are shipped or delivered. Upon successful payment and authentication, users are granted immediate access to subscribed algorithmic strategies via the online portal.

All services are delivered digitally through the platform, and no courier, logistics, or physical delivery is applicable.

16. FamilyCircle Referral and Cashback Program

1. Overview: The FamilyCircle Program encourages users to share AlgoFruit's technology platform with their family, friends, and network. Participation is voluntary and rewards are provided as internal cashback for platform usage, not as income or investment returns.
2. Nature of Program: This is a platform referral program for AlgoFruit's technology infrastructure services (hosting, automation tools, backtesting, etc.), NOT a program for selling, sharing, or monetizing trading strategies. It complies with SEBI guidelines that permit sharing platform services with immediate family members.
3. Nature of Rewards: Rewards are granted in CherryCoins, which are non-convertible internal credits usable only within the platform for technology services. They are not cash, legal tender, or investment returns.
4. Referral Levels and Configuration: The FamilyCircle Program operates up to two levels for platform service referrals only. Admin sets percentages dynamically (default: Level 1 – 4%, Level 2 – 1%). These percentages apply to platform service fees, not trading profits or strategy performance.
5. Earning and Usage: Referral rewards are credited in the user’s Cashback Wallet and can be used for in-platform technology services only. They cannot be withdrawn or exchanged for cash.
6. Unlimited Earnings Policy: No earning cap applies on platform referral rewards; however, AlgoFruit may modify reward rates or eligibility for compliance or sustainability.
7. SEBI Compliance Disclaimer: This program is for technology platform referrals only, not for strategy selling, signal distribution, or investment advice. Any sharing of trading strategies must comply with SEBI regulations (limited to immediate family members for personal use unless the user is a SEBI-registered Research Analyst). This is not an investment, income generation, or multi-level marketing program.
8. Fraud Prevention: Misuse, fake referrals, or manipulation of deposits will lead to termination of privileges and possible account suspension.
9. Tax Implications: CherryCoins are promotional credits for platform services and typically not taxable. If converted to taxable benefits under future policy, the user is responsible for applicable taxes.
10. Program Modification or Termination: AlgoFruit may alter or end the FamilyCircle Program without prior notice. Continued use of the platform implies acceptance of updates.
